1. Reviewing the recent case
On June 24, 2026, Identiv agreed to sell its RFID- and Bluetooth Low Energy IoT operating assets, including its German R&D center and Thai subsidiary, to Trackonomy Systems. Identiv will also contribute \$25 million in cash and receive \$50 million of Trackonomy preferred equity. The transaction is expected to close in the third quarter or early fourth quarter of 2026, subject to shareholder approval and customary conditions.
This is not a clean cash exit. Trackonomy combines sensors, cloud software and AI to provide real-time visibility into physical goods across logistics, healthcare, aviation and manufacturing. By taking equity rather than cash, Identiv retains exposure to the combined business. The companies also plan to cooperate on software opportunities using Trackonomy’s platform.
Identiv will remain listed on Nasdaq, but it will change its name because the Identiv brand is included in the sale. The remaining company plans to acquire SaaS businesses serving regulated industries and build around Physical AI. This means moving from manufacturing and selling products toward recurring software revenue.
The decision follows an earlier transformation. In 2024, Identiv sold its physical security and access-control assets to Vitaprotech for \$145 million and concentrated on IoT. It shifted production from Singapore to Thailand and exited lower-margin work. Yet 2025 revenue fell to \$21.5 million from \$26.6 million. GAAP gross margin improved from 1.3% to 6.1%, but the continuing business still posted an \$18.0 million net loss. First-quarter 2026 revenue reached \$7.4 million and gross margin improved to 17.4%, showing progress but not yet solving the challenge of supporting fixed costs with a small revenue base.
2. Analyzing the case
The reason for the shift does not appear to be a lack of IoT market growth. Identiv was still launching products and winning supply agreements. The deeper issue is that an attractive market does not automatically create an attractive standalone business.
RFID and BLE products require scale, supply-chain strength, customization and quality control. Large orders can demand capital before revenue arrives. Identiv improved margins through manufacturing changes, but 2025 revenue declined and adjusted EBITDA remained negative by \$14.5 million. The direction of improvement was sound, yet the time and cash required to reach sustainable profitability made standalone expansion increasingly demanding.
Competition is also moving upward from components to integrated platforms that convert sensor data into operational decisions. Trackonomy already has that software layer and an enterprise customer base. Combining Identiv’s design and manufacturing capabilities with Trackonomy’s platform may create more value than keeping the assets independent. Identiv’s preferred equity preserves participation in that upside.
The timing is important. Selling after first-quarter improvement may look premature, but visible progress can strengthen negotiating leverage. Waiting until cash pressure becomes acute usually narrows alternatives. Management therefore needs criteria beyond current growth: customer concentration, capital payback periods, the revenue scale required for profitability, and the value achievable under another owner.
The remaining company still faces meaningful risks. Preferred equity in a private company is less liquid than cash, and the SaaS acquisition strategy is not yet executed. The next phase will test acquisition discipline, integration capability and the ability to recruit software leadership.
3. What could have been done differently
Early warning indicators should have included more than revenue growth. Management needed to track whether gross profit dollars could support R&D and sales costs, how concentrated major customers were, how long orders took to reach production, and how much cash was consumed before volume ramped. When margins improve but the business remains too small, leaders must distinguish between an efficiency problem and a structural scale problem.
Alternatives included a joint venture, outsourced manufacturing, concentration on a few high-margin verticals, or a commercial partnership with Trackonomy before a sale. Those paths could have reduced transition risk, but they might also have prolonged losses and blurred accountability. The chosen combination of equity consideration and partnership sits between a full exit and continued independence.
A stronger approach after the 2024 sale would have been to define explicit milestones for the IoT thesis, such as revenue, margin and EBITDA targets by a fixed date. If those targets were missed, partnership or sale discussions would begin automatically. Treating strategy as a time-bound hypothesis makes a later exit less emotional and more disciplined.
Capital allocation after the transaction also needs care. Identiv announced a \$40 million share repurchase authorization while also planning SaaS acquisitions. Buybacks, acquisition capacity and operating liquidity must be balanced. Setting clear reasons to reject a deal may be more valuable than rushing to buy the next growth story.
4. The path forward and broader lessons
The first lesson is not to confuse a growing market with a right to win. If the necessary scale, capital and distribution exceed a company’s resources, a partnership or sale can be rational. The second is to examine strategic alternatives while performance is improving and leverage remains. Exit is not merely a cleanup operation after failure; it is a choice about the strongest future combination.
Identiv’s path is unfinished. It must complete the transaction, turn the Trackonomy framework into a working software partnership, select and integrate SaaS acquisitions, and strengthen leadership. Moving from hardware to recurring software revenue will require changes in sales, customer success, product development and performance metrics.
Still, this second transformation does not prove that the first was simply wrong. The 2024 focus enabled Identiv to transfer production, improve margins and demonstrate value to a buyer. Strategy is not a promise to preserve yesterday’s decision. It is a hypothesis that should change when the evidence changes. Viewed this way, a divestiture can be a constructive act: reorganizing assets, time and relationships so the next attempt has a better chance to succeed.
