English Version
1. Reviewing the recent case
On 19 June 2026, UK chemicals maker Synthomer announced an agreement to sell its Acrylate Monomers business in Sokolov, Czech Republic, to German turnaround investor Mutares. The price was not disclosed, and completion is expected at the end of the third quarter of 2026, subject to customary conditions.
The business produces acrylic acid and acrylic esters used in coatings, adhesives, and resins. It generated approximately €110 million in carve-out revenue in 2025 and employs around 300 people. The site also supplies raw materials and contract-manufactured acrylic dispersions to other Synthomer operations, and those supply arrangements will continue after the sale.
Synthomer had classified the unit as non-core in its October 2022 strategic review. It operates in highly cyclical markets, requires substantial capital, and is the group’s last remaining upstream business. Synthomer’s stated direction is toward higher-margin, higher-growth specialty chemicals where customer collaboration, application knowledge, and differentiated formulations matter more.
The financial context adds urgency. Revenue from continuing operations fell 9.9% in constant currency to £1.7392 billion in 2025, while volume declined 7.2%. EBITDA was £136.5 million, but the group reported a statutory operating loss of £50.2 million. Covenant net debt to EBITDA stood at 4.7 times, well above the medium-term target of 1–2 times. Divestment proceeds are intended to reduce debt and strengthen the balance sheet.
2. Analysis of the decision
This is less a rushed disposal of a weak asset than a recognition that the business model no longer matches the parent company’s intended direction. Upstream acrylics depend heavily on feedstock prices, energy costs, plant utilization, and global supply. Specialty chemicals compete through customer-specific performance and technical service. Both can be valid businesses, but they require different capabilities and capital allocation.
The sale also addresses internal constraints. Synthomer delivered £30 million of self-help benefits in 2025 and targets another £20–25 million in 2026, while reducing 250 roles. Operational improvement alone, however, cannot justify retaining every asset. The company is combining cost discipline with portfolio discipline.
The three-and-a-half-year gap between identifying the asset as non-core and signing a sale may look slow. Yet a manufacturing carve-out must resolve environmental responsibilities, employment, shared services, internal supply, and standalone operations. Mutares specializes in industrial businesses in transition. Retaining supply arrangements while transferring ownership suggests that continuity and the buyer’s ability to develop the business mattered alongside price.
3. What could have been done better
The key early signals were persistently weak returns on invested capital, capital expenditure that could not earn above the cost of capital under normal market conditions, and fixed-cost burdens exceeding the strategic benefit of upstream integration. Management should test not only whether earnings recover at the top of the cycle, but whether the asset creates value through an average cycle.
Alternatives included a joint venture, an earlier spin-off supported by long-term supply agreements, partial capacity closures, or investment in more specialized derivatives. However, a leveraged company has limited time and capital for another transformation. Selling ownership while preserving supply contracts is therefore a practical compromise between supply security and a lighter balance sheet.
A clearer timetable after the 2022 non-core designation would have improved accountability. Predetermined thresholds for utilization, cash generation, investment returns, and the maximum period allowed to find a buyer can prevent strategic reviews from drifting.
4. The path forward and broader lessons
The broader lesson is that making a useful product does not automatically mean a company should continue owning the business. An asset can have capable employees, valuable technology, and loyal customers, yet fit better with another owner’s strategy and capital structure.
A divestment should not be judged only by its sale price. It should reduce financial strain, sharpen the core portfolio, protect continuity for customers and employees, and release capital and management attention for the next growth agenda. For Synthomer, the next test is whether it truly redirects resources toward specialty innovation, customer development, and manufacturing efficiency. For Mutares, the test is whether it can improve utilization, product mix, and commercial reach.
Seen this way, withdrawal is not a rejection of the past. It is a deliberate choice about where the company can compete best next.
