1. Recent case: company, business and background
CareDx, a U.S. precision-medicine company focused on transplant patients, completed the sale of its Lab Products business to France-based Eurobio Scientific on June 30, 2026. CareDx received \$171.2 million in cash, subject to customary adjustments. The divested portfolio includes PCR kits for rapid deceased-donor HLA typing, next-generation sequencing kits for transplant-recipient HLA typing, and post-transplant monitoring assays outside North America.
This was not a distressed disposal. CareDx generated about \$380 million in 2025 revenue, up 14%, while product revenue rose 19% to \$48 million. Yet the growth profiles began to diverge in early 2026: first-quarter Testing Services revenue grew 48% year over year and Patient and Digital Solutions grew 33%, while Lab Products revenue declined 4% to about \$10 million.
CareDx will concentrate on U.S. precision-medicine testing and patient and digital solutions. Eurobio acquired the Swedish operation and subsidiaries in the United States and Australia, adding the portfolio to its GenDx transplant-diagnostics platform. CareDx retained exclusive North American distribution rights for certain post-transplant monitoring products, making the deal a reallocation of roles rather than a complete separation.
2. Analysis of the reasons and timing
The central issue was operating-model fit. CareDx’s U.S. testing service combines sample processing, clinical interpretation, reimbursement and patient support. Lab Products is closer to a global manufacturing business, requiring inventory, country-specific approvals, distributor management and instrument compatibility. The customers may overlap, but the capabilities and economics are different.
Competition in transplant diagnostics is shifting from conventional PCR toward NGS and increasingly sensitive molecular monitoring. CareDx’s advantage is an integrated service connecting test results, clinical data and patient support. Eurobio and GenDx are better positioned to manufacture and distribute proprietary kits worldwide. The same assets may therefore create more value under a different owner.
Timing mattered. CareDx sold while the portfolio still had growth history, customers and strategic value, rather than waiting for deterioration. The right test was not simply whether the unit was profitable. It was whether CareDx remained the best owner, whether the unit could grow through the same capabilities as the core, and whether management time and capital could earn a better return elsewhere.
3. What could have been done better
CareDx could have measured the “distance” between operating models earlier. Useful indicators include regulatory lead times, inventory turns, country-level selling costs, required manufacturing investment, management attention, actual cross-selling and technology reuse. A slowdown in revenue is a late signal; weak synergies and widening growth gaps are earlier ones.
Alternatives included a spin-off, joint venture, outsourced manufacturing or regional licensing. The chosen structure already sits between a full exit and a partnership because CareDx retained selected distribution rights and will provide transition support. The transition should be managed through outcome-based milestones covering product availability, quality, staff retention, data, intellectual property and regulatory handovers.
The sale proceeds also require discipline. Priority should go to testing capacity, clinical evidence, reimbursement and digital integration. Acquisitions should be limited to businesses whose value CareDx can increase through its existing platform. Receiving cash is not the end of the strategy; deploying it without overpaying is the next test.
4. Path forward and lessons
The broader lesson is that even a growing business can be a rational divestiture candidate. Strategic exit is not only about discarding a weak unit. It can mean transferring a good business to a better owner while concentrating resources where the seller has the strongest advantage.
Companies reviewing portfolios should examine shared capabilities, not only shared brands or customers. Manufacturing, regulation and distribution can create hidden complexity even within one clinical field. Early warnings include competition for management attention, slower decisions, regulatory burden and synergies that remain theoretical.
CareDx must now explain its post-sale economics and demonstrate how the proceeds support measurable growth. Eurobio must preserve supply and customer service while proving the benefits of integration with GenDx. The decisive question after an exit is not merely what the company stopped doing, but what it will now prioritize and how success will be measured.
