1. Reviewing the recent case

On June 30, 2026, Pitney Bowes announced the second phase of a strategic review. Its board will compare the current value-creation plan with acquisitions, divestitures, partnerships, and a possible sale of the entire company. An independent board committee will lead the process with BofA Securities and Goldman Sachs as financial advisers. No deadline has been set, and a transaction is not guaranteed.
The century-old company now centers on SendTech Solutions, which provides mailing and shipping technology, digital tools and financial services, and Presort Services, which sorts customers’ mail so they can qualify for U.S. Postal Service discounts. Pitney Bowes wound down its loss-making Global Ecommerce operation in 2024. The new review therefore asks a second-order question: after exiting a troubled growth business, what ownership structure will create the most value from the stronger businesses that remain?
First-quarter 2026 revenue was \$477.4 million, down 3% year over year. SendTech adjusted EBITDA rose 14%, while Presort revenue fell 8% and adjusted EBITDA fell 25% because of customer losses, lower market volume and mix. Management raised full-year guidance. This is not a forced sale from immediate distress; it is a review launched while earnings, cash flow and financial flexibility are improving.

2. Analysis

The main external pressure is the long-term decline of physical mail. Yet the market will not disappear overnight. Regulated communications, high-volume business mail, complex postal pricing, established customer relationships and embedded financing still have value. A shrinking market can remain cash-generative when an operator has scale and discipline.
Competition is also changing. SendTech competes not only in traditional mailing equipment but with cloud shipping software and multi-carrier platforms. Presort benefits from scale, but lower volume makes fixed facilities and labor harder to absorb. Its first-quarter profit decline shows how earnings can contract faster than volume.
Internally, the Global Ecommerce exit made the economics of the remaining businesses easier to see. It also created a natural moment to test whether a company with mailing technology, sorting sites and banking capabilities is worth more together or separately. The timing matters: selling at the bottom transfers turnaround value to a buyer, while waiting too long can narrow options as mail volumes fall. The right test should include price, execution certainty, tax and separation costs, effects on employees and customers, post-transaction leverage, and investment capacity over the next three to five years.

3. What could have been done differently

Global Ecommerce might have benefited from earlier staged exit rules. Management could have tracked contribution margin per parcel, facility utilization, cash payback by customer, and free cash flow after required investment. Failure to improve for a defined number of quarters would trigger downsizing, a partnership, or a sale. The key question is not how much has already been invested, but whether the next dollar can outperform its best alternative use.
Today, a full-company sale is only one option. Pitney Bowes could consolidate Presort sites, manage mature mailing hardware separately from digital and banking growth assets, form partnerships with logistics, software or financial companies, or sell minority stakes to test outside valuations. A dual-track process—comparing a credible standalone plan against transaction options using the same measures—would preserve flexibility.
Capital allocation also needs balance. Buybacks are visible shareholder returns, but a structurally declining market still requires debt reduction, software investment, customer retention and workforce transition. Any transaction should leave each separated business capable of investing after the deal, rather than merely maximizing short-term reported profit.

4. The road ahead and lessons

The broader lesson is that strategic reviews are not only for failing companies. When performance is improving, management has more time and bargaining power to compare selling, partnering, separating and holding. An exit is not an admission of defeat; it can be a decision to match a business with the owner and capital structure best suited to it.
Investors should watch Presort volume and retention, SendTech digital revenue, the return and risk profile of the bank, debt, and free cash flow. Even if no sale occurs, the review can create value by clarifying the role, investment hurdle and exit conditions of each business.
Other companies should avoid using one measure for every portfolio asset. Mature businesses should be judged on durable cash generation; new ventures on future potential and the productivity of incremental investment. Corporate functions should be retained only when they create real shared advantages. Pitney Bowes’ next challenge is not to preserve history for its own sake, but to reorganize the customer relationships, technology and financial capabilities built over that history into the form where they can work best.
