1. Reviewing the recent case
On June 17, 2026, U.S. video and communications technology company Harmonic completed the sale of its Video business to MediaKind for \$145 million in cash. Harmonic has consequently become a pure-play Broadband company, supplying virtualized network software and equipment to cable and telecommunications operators. The Video business provides compression, delivery, cloud and operational technology to broadcasters and streaming companies, while Broadband helps operators deliver high-speed internet services to homes.
This was not a sudden decision. Harmonic received a binding offer in December 2025, completed employee consultation and regulatory processes, signed the definitive agreement in March 2026, and closed the transaction in June. MediaKind says the combined video infrastructure company has more than \$250 million in annual revenue and over \$100 million in annual recurring revenue. The transfer therefore gives customers and employees an owner dedicated to continued investment in video technology.
The sale was not simply the disposal of a loss-making operation. Video revenue in the first quarter of 2026 was \$50.1 million, up from \$48.3 million a year earlier. Yet Broadband revenue rose 43% to \$121.7 million, while backlog and deferred revenue increased 87% to \$582.1 million. Harmonic’s cOS platform was deployed at 150 customers and served 45.7 million cable modems. The choice was to concentrate people, capital, research and management attention on the faster-growing opportunity.
2. Analysis of the decision
The first reason for the pivot is that the capabilities required by the two businesses have diverged. Video must support broadcast appliances, cloud delivery and SaaS while adapting to a rapidly changing streaming market. Broadband requires sustained investment in DOCSIS 4.0, fiber and software-defined networks. Both are technology businesses, but their customers, sales cycles and product priorities are not identical. Specialized ownership can create more value than keeping both under one roof.
Market conditions reinforced the decision. Operators are upgrading network speed and flexibility, creating momentum for Harmonic’s Broadband portfolio. Video infrastructure, meanwhile, spans broadcast, OTT and cloud markets where customer consolidation and uneven investment cycles complicate growth. Combining with MediaKind spreads research, development and sales costs across a larger revenue base. The transaction therefore has strategic logic for both the seller and the divested business.
Specialization also creates a new vulnerability. Harmonic disclosed that its top ten customers generated 88% of first-quarter Broadband revenue, with two customers accounting for 36% and 22%. Video represented about 29% of total first-quarter revenue. After the sale, Harmonic loses diversification and becomes more exposed to changes in operator capital spending. It also competes with larger communications-equipment companies. The right decision test was not whether Video was “bad,” but whether Broadband’s opportunity outweighed the risk of lost diversification. Growth, backlog and deployment evidence made the timing defensible.
3. What could have been done differently
Three early signals matter in a portfolio like this. First, is the gap in growth and return on invested capital widening? Second, are claimed sales synergies appearing in actual orders? Third, are management and R&D priorities repeatedly colliding? Decision-making time, not only financial performance, can reveal that the ownership structure needs review.
Alternatives included a spin-off, minority investment, partial product sale, or retaining only the SaaS assets. Video was still growing and did not need to be closed. The central question, however, was whether it could obtain sufficient scale and continued investment. The MediaKind combination transfers products, customers and employees together and creates a business with more than \$250 million in annual revenue. That should protect customer continuity and specialist expertise better than gradual contraction.
Harmonic should now make post-sale resource allocation explicit. The company needs to show how the \$145 million supports fiber products, DOCSIS 4.0, international expansion and customer diversification. First-quarter Broadband results also included about \$2.3 million of stranded costs associated with the divestiture. Pure-play status is not achieved by changing the label alone: duplicated costs must be removed, shared functions redesigned and customer dependence measured regularly.
4. The path ahead and broader lessons
The case shows that even a growing business can be a rational divestiture candidate. A unit may generate revenue and still have a better owner elsewhere. If exits are viewed only as a way to discard weak businesses, decisions often come too late. Asking who can best expand value for customers, employees and technology creates more options.
Focus is not automatically superior. It can simplify the story and speed investment, but it also reduces resilience to customer and market shocks. Harmonic’s next task is to convert backlog into revenue and recurring income while expanding beyond major North American operators into fiber and international markets. Sale proceeds should strengthen resilience as well as growth.
A divestiture does not invalidate the past. The technology and customer relationships built by Harmonic’s Video team can continue under MediaKind, while Harmonic concentrates on Broadband. The essential discipline is to transfer a business while it still has value and a credible next owner. Seen this way, exit is not defeat; it is the deliberate selection of a better home for a business and the creation of room for the next challenge.
