1. Reviewing the recent case

SPS Commerce provides a cloud network that connects retailers and suppliers and supports ordering, invoicing, inventory, and related transactions. On June 30, 2026, it sold its 3P Revenue Recovery business for \$9.5 million in cash. Revenue Recovery helps suppliers identify and recover money lost through shipment discrepancies and billing errors. “3P” refers to third-party merchants that sell directly to consumers through Amazon’s marketplace.
The business came with Carbon6 Technologies, which SPS acquired in February 2025 for approximately \$210.2 million in cash and shares. Carbon6 added about 8,500 recurring-revenue customers, most of them 3P customers. Roughly seventeen months later, SPS sold the 3P unit and expects to record a loss of about \$20 million in the second quarter of 2026.
This was not a complete reversal of the acquisition. SPS retained the 1P Revenue Recovery business for suppliers that sell wholesale to retailers. Those customers often work with Amazon, Walmart, Kroger, Target, Home Depot, Lowe’s, and other retailers, making them a better fit with SPS’s Fulfillment and Analytics products. The transaction is therefore best understood as a selective exit based on customer fit.

2. Analyzing the decision

The main external factor was Amazon’s policy changes, which reduced recoverable amounts and weakened the economics of 3P Revenue Recovery. SPS had already introduced a \$19.99 monthly platform fee for small 3P accounts and anticipated that as many as 4,000 customers could leave during 2026. A large customer count is not automatically an advantage when revenue per customer is low and service costs remain.
The strategic mismatch also mattered. SPS’s core strength is a many-to-many network connecting suppliers with multiple retailers. A 1P customer can adopt Revenue Recovery and then expand into fulfillment and analytics. Many 3P customers, however, depend heavily on one marketplace and its rules. The product looked adjacent, but the customer behavior and economics were different.
The speed of the decision is notable. A quick post-acquisition sale can look like an admission of error, which often encourages delay. SPS instead acted before deterioration went further. It shifted the test from “Can we recover the purchase price?” to “Is this where we should invest the next dollar and the next hour?” That is the more useful standard because sunk costs cannot be recovered.

3. What could have been done better

Before the acquisition, SPS could have examined customer quality more rigorously by separating 1P and 3P economics: revenue per customer, support cost, churn, sensitivity to Amazon policy, and cross-selling potential. In a recovery-based revenue model, severe scenarios for platform rule changes should have been central to due diligence.
Alternatives included buying only the 1P assets, arranging an option to sell the 3P unit after integration, or tying more of the purchase consideration to future performance. Even if the entire company had to be acquired, SPS could have managed the two segments with separate owners, profit-and-loss statements, and continuation criteria from day one.
An acquisition plan should also define stopping rules. Metrics such as 3P gross profit, cost to serve, conversion into 1P relationships, and expansion beyond Amazon could have been reviewed at fixed dates. Clear exit criteria allow resources to move without framing the decision as a judgment on the people who worked on the business.

4. The path forward and broader lessons

SPS must now prove the value of the retained 1P business. If it can expand Amazon relationships across other retailers and cross-sell Fulfillment and Analytics, part of the Carbon6 thesis can still succeed. If cross-selling remains weak, the remaining investment should also be reviewed. The sale does not end the test; it makes the retained thesis measurable.
For other companies, the lesson is not to treat an acquired business as a single block. The same product may have very different strategic value across customer groups, channels, and revenue models. Separating the compatible parts from the structurally mismatched ones can preserve acquisition value while limiting further losses.
An exit is not a scorecard used to blame an earlier decision. Conditions change, and some facts become visible only after integration. A roughly \$20 million loss is meaningful, but continuing to spend time and money on a weak fit can cost more. Updating a decision early and selectively is not the opposite of growth; it is one way to protect the capacity for the next attempt.
