1. Reviewing the recent case
On June 23, 2026, genomic-medicine company Sangamo Therapeutics filed for Chapter 11 protection and announced a court-supervised sale of its principal assets. Chapter 11 does not mean an immediate shutdown; it allows a company to maintain limited operations while restructuring or selling assets under court oversight.
Founded in 1995, Sangamo pioneered zinc-finger technology and expanded into gene editing, gene regulation, cell therapy, and delivery technologies. Yet converting scientific progress into approved products and recurring revenue required more time and capital than the company could sustain.
Eli Lilly became the stalking-horse bidder for Sangamo’s zinc-finger, capsid-delivery and MINT platforms, plus the ST-506 prion program, with a baseline offer of \$50 million and assumed liabilities. Astellas became the baseline bidder for the Fabry disease program ST-920, for consideration of up to \$50 million. These bids establish a floor while allowing higher offers through an auction. Sangamo also secured up to \$30 million in debtor-in-possession financing and announced a reduction of roughly 40% of its U.S. workforce. With \$27.6 million in cash at March 31 and substantial doubt disclosed about its ability to continue, the central problem was not the disappearance of scientific promise, but the loss of enough time to prove it.
2. Analysis
The key issue was the mismatch between development time and available capital. A promising therapy still needs trials, regulatory work and manufacturing preparation before producing revenue. A broad portfolio creates many possible successes, but also spreads fixed costs across people, facilities, patents and studies.
The market was also demanding. Gene therapy carries development, safety, manufacturing and affordability risks. Its competitors for capital are not only similar therapies, but programs with faster data and nearer-term commercial prospects. The fact that buyers targeted separate assets rather than the whole company shows that scientific value and organizational value did not fully overlap.
Management’s practical test should have been the probability of reaching the next value-inflection point before cash ran out—not merely the theoretical long-term value of holding each asset. Chapter 11 is severe, but obtaining bridge financing and baseline bids before liquidity disappeared may preserve more value than an uncontrolled shutdown.
3. What could have been done differently
Early-warning indicators should include the cash needed to reach the next decisive data point and the cash needed to complete a partnership or sale. Dependence on upfront collaboration payments, terminated partnerships, a declining share price, and delayed development schedules should be modeled together under downside scenarios.
Earlier alternatives could have included regional licensing of ST-920, separating technology platforms into independent entities, or concentrating resources on one or two programs while pausing the rest. Preserving every scientific option can destroy corporate value if no program reaches a milestone that outsiders can assess.
Resources should be ranked by funding need, time to the next value-creating event and number of credible partners. A strategic review should begin while the company still has negotiating room—for example, before runway falls below 18 months—with firm licensing or sale deadlines before it falls below 12 months.
4. The path forward and lessons
Sangamo’s case shows that owning valuable technology and being able to finance it to maturity are different capabilities. For new ventures, continuation criteria should include runway to the next proof point, organizational complexity and dependence on outside capital, not only revenue targets.
An exit does not prove that the underlying work lacked value. Lilly’s and Astellas’s bids indicate strategic interest, and the programs may progress under owners with greater capital and development capacity. Changing ownership can be a responsible choice when it preserves a path to patients.
The human and financial consequences remain serious. That is why an exit plan should be designed before a crisis: identify protected assets, paused programs, transferable data, potential buyers and a fair communication process for employees. Sangamo’s three decades cannot be reduced to a simple success-or-failure label. The deeper lesson is to combine ambition with a clear view of the funding clock—and to recognize that transferring an asset early may sometimes preserve more of the original mission than holding it too long.
