1. Recent case: company, business and background

On July 3, 2026, French cable manufacturer Nexans completed the sale of Autoelectric, its automotive wiring-harness business, to Samvardhana Motherson International for an enterprise value of €207 million. Autoelectric designs and manufactures the wiring systems that carry power and signals throughout a vehicle. It generated approximately €708 million in sales in 2025 and employed nearly 13,000 people.
This was not an isolated cash-raising measure. It completed a portfolio rotation Nexans had announced in 2021. Since 2023, the group has divested non-electrification businesses including Aginode, AmerCable and Lynxeo. Autoelectric was the last remaining business outside Nexans’ chosen focus on power transmission, grids and electrical connections.
Nexans announced exclusive negotiations in December 2025, completed regulatory and employee-representation procedures, and deconsolidated the business on July 1, 2026. Motherson, whose core business is automotive components, gains Autoelectric’s engineering capabilities, customer relationships and production footprint. An asset that was peripheral to the seller can therefore become strategically central to the buyer.

2. Analysis: reasons, market conditions and timing

The sale does not mean automotive wiring lacks growth. EVs and advanced driver-assistance systems require increasingly complex electrical architectures. Yet automotive harnesses and power-grid cables demand different capabilities. Harness suppliers must tailor designs to each automaker, operate global manufacturing networks, pass strict qualification processes and manage constant pressure on material and labor costs. They also compete with large specialists such as Yazaki, Sumitomo Electric, Aptiv, Lear and Leoni.
Nexans sees a stronger fit in renewable-energy connections, grid reinforcement and the electrification of cities and homes. In 2025, its continuing operations delivered €6.1 billion in standard sales and €728 million in adjusted EBITDA, with an 11.9% margin. The group plans roughly €1.2 billion of capital expenditure from 2025 to 2028 and targets adjusted EBITDA of about €1.15 billion in 2028.
The relevant question was therefore not the size of Autoelectric, but where scarce capital and management attention could create the most value. The €207 million enterprise value may appear low beside €708 million of annual sales, but a sales multiple does not capture operating complexity, future investment requirements or cyclical risk.
Timing matters as well. Nexans did not wait for a severe crisis. It moved through a long sequence: transformation from 2018, clearer portfolio boundaries in 2021, divestments from 2023, negotiations in 2025 and completion in 2026. Because its core electrification activities were already growing and profitability was improving, the sale could be presented as the completion of a strategy rather than an emergency retreat.

3. What could have been done better?

Companies should identify earlier when businesses that appear technologically adjacent actually have different customers, economics and capability requirements. Useful signals include return on invested capital, cash generation after required investment, customer concentration, ability to pass through material and wage inflation, and the amount of senior-management attention each business consumes.
Alternatives to a full sale could have included a joint venture, a spin-off with a retained minority stake, or the disposal of selected regions or product lines. Those structures preserve some upside, but they also maintain complexity and blur strategic accountability. If the objective is to establish a clear pure-play identity, a full transfer can be more coherent.
The treatment of employees is equally important. With nearly 13,000 people involved, transaction quality includes the buyer’s industrial fit, the continuity of sites and jobs, and the future home for engineering expertise. Choosing an automotive specialist such as Motherson can be understood as an attempt to place Autoelectric where it has a stronger strategic case for future investment.

4. Path forward and lessons

The core lesson is that divestment can define what a company intends to become. Even a viable business may be better owned by someone else. If the seller can redirect capital and attention toward areas where it has clearer differentiation and durable demand, the transaction can create new possibilities for the seller, the buyer and the business itself.
Focus also creates concentration risk. Nexans will now be more exposed to grid-investment delays, execution risks on large projects, copper prices and the returns on capacity expansion. Management must therefore keep testing order-book quality, investment returns and geographic or customer concentration.
Other companies can adopt a simple discipline: for every business, ask, “If we did not own this today, would we buy it?” and “Are we truly its best owner?” Weak answers should trigger an early comparison of sale, partnership and separation options. Divestment then becomes not an admission of failure, but a deliberate way to move resources toward the next challenge.
