1. Reviewing the Recent Case

In October 2025, Swiss electrification and automation group ABB announced that it would sell its Robotics business to SoftBank Group for USD 5.375 billion. SoftBank said the deal is expected to close in mid-to-late 2026, subject to regulatory approvals in regions including the EU, China, and the United States. The business develops, manufactures, and sells industrial robots, employs about 7,000 people, and generated USD 2.279 billion in revenue and USD 313 million in EBITDA in 2024.
What makes this case especially interesting is that ABB had previously been preparing to spin off the Robotics division as a separately listed company. The company was ready to let capital markets value the business directly. Then SoftBank appeared with an offer built around its “Physical AI” strategy, the idea that artificial intelligence will increasingly move from screens and data centers into machines that act in the physical world. ABB appears to have decided that a sale to a strategic buyer would create more certain value than an independent listing.

2. Analysis Based on the Case

This should not be read simply as a sale of a weak business. ABB Robotics has scale, technology, and a strong global brand. At the same time, its 2024 revenue declined from the previous year, and its profitability was below ABB’s group average. The business had long-term potential, but it was also exposed to investment cycles, regional demand shifts, and increasingly intense competition.
The market itself is changing. Industrial robots are used in automobiles, electronics, logistics, food production, and many other fields. But the basis of competition is moving from mechanical performance alone toward a broader combination of AI, vision systems, data, software, and infrastructure. For ABB, this raised a difficult question: even if it had strong robotics technology, was it the best owner for the next phase of AI-driven robotics?
SoftBank had a clearer strategic reason to buy. It has identified AI chips, AI robots, AI data centers, and energy as core areas for the next wave of growth. ABB Robotics may have been only one part of ABB’s portfolio, but for SoftBank it could become a central platform. That difference in strategic value likely helped support the transaction price.

3. What Could Have Been Done Better

Looking back, the key question is whether ABB could have defined the role of Robotics earlier. A growing business is often kept inside a group simply because it is promising. But being promising and being best owned by the parent company are not the same thing. Warning signals included a profitability gap versus the group average, sensitivity to regional demand, the rising investment needed for AI capabilities, and limited overlap with ABB’s other major businesses.
ABB had several options: continue with the planned spin-off, form a joint venture, deepen AI partnerships while keeping the business, or sell to a strategic buyer. None of these choices would have been inherently wrong. But a spin-off depends on market conditions. A joint venture can make decision-making complicated. Keeping the business would require ABB itself to fund the next wave of AI robotics investment. Selling to SoftBank simplified those uncertainties.
The broader improvement point is to judge portfolio fit not only by whether a business is growing, but also by whether the parent company is the most rational owner for the next stage. Exit decisions do not have to wait until a business is in trouble. Sometimes selling while a business is still valuable is the most constructive move.

4. Lessons and Next Steps

The main lesson is that divestment can be an act of choosing a better owner, not giving up. ABB Robotics was a business ABB could be proud of. But as AI and robotics converge, SoftBank’s capital, AI focus, and investment network may offer a better environment for the next phase.
Other companies can learn from this. The more attractive a business is, the more carefully leaders should ask: does this business become stronger inside our company, or could it grow more fully under another owner? Holding onto a business out of attachment can limit both the business and the people inside it. Selling at the right time can free capital for the seller and create a stronger growth setting for the buyer.
Divestment often sounds negative. But in this case, the shift from spin-off to sale looks like a pragmatic redesign of the exit route. The lesson is not to cling too tightly to the original plan. When markets, buyers, and competitive conditions change, the exit strategy can change too. Good business transformation is not only about how to start. It is also about how to let go well.
