Saks Global
Saks Global

1. Researching the Recent Case
This column looks at Saks Global, the U.S. luxury retail group behind Saks Fifth Avenue, Neiman Marcus and Bergdorf Goodman. In late June 2026, the company emerged from Chapter 11 bankruptcy and rebranded itself as Exemplar Luxury Group. According to AP, the restructuring reduced its debt by roughly 75% and added \$500 million in financing. The company also became much smaller. Before bankruptcy, it operated 33 Saks Fifth Avenue stores, 36 Neiman Marcus stores, Bergdorf Goodman, and about 70 Saks Off 5th outlets. After restructuring, the footprint was reduced to 15 Saks Fifth Avenue stores, 33 Neiman Marcus stores, Bergdorf Goodman, and 12 Saks Off 5th locations.
The turning point was the 2024 acquisition of Neiman Marcus. The strategic logic was understandable: combine two iconic luxury department store groups, increase scale, deepen customer data, and strengthen negotiating power with brands. But the deal also brought heavy debt, integration complexity, vendor-payment pressure, and a store base that was too large for the company’s new financial reality. The restructuring was therefore not just a bankruptcy process. It was a decision to redefine what kind of luxury retailer the company wanted to remain.
2. Analyzing the Case
There were three main reasons behind the shift. First, the market changed. Luxury brands increasingly sell through their own stores and digital channels, making department stores less central than before. Customers also expect curation, service, exclusivity and trust, not just broad product selection.
Second, competition changed. Saks was not only competing with other department stores, but also with brand-owned boutiques, online luxury platforms, resale channels and personalized shopping services. In off-price retail, Saks Off 5th faced strong rivals such as Nordstrom Rack and TJX-related formats. Off-price stores can help clear inventory, but running them as a separate growth engine can dilute focus and add operational complexity.
Third, the internal burden became too large. The merger may have offered long-term synergies, but synergies need time, cash, systems and vendor confidence. When debt is heavy and supplier trust weakens, the company may lose room to execute before the benefits arrive. In this situation, the decision criteria shifted from store count and sales volume to cash generation, vendor confidence and the ability to protect the luxury customer experience.
3. What Could Have Been Done Better
The early signal was not simply whether the merger made sense on paper, but whether the company had enough room to integrate it. Large acquisitions often highlight cost savings and scale benefits. Yet those benefits only appear after difficult execution: systems integration, store rationalization, supplier cooperation and cultural alignment.
A clearer exit design at the time of acquisition may have helped. Saks Off 5th and Last Call needed a sharper role: were they independent growth businesses, or mainly clearance channels for the full-price luxury banners? Trying to be both can blur the brand and absorb too much capital. If the company had treated off-price formats mainly as supporting infrastructure, it might have reduced store count and operating costs earlier.
Resource allocation should also have centered less on store numbers and more on quality of customer relationships. In luxury retail, value comes from trusted sales associates, tailored recommendations, curated products and brand partnerships. The new Exemplar Luxury Group appears to be moving in this direction. Ideally, that discipline would have been built into the merger plan from the beginning.
4. Lessons and the Path Forward
The main lesson is that acquisitions are tools, not goals. Scale can create negotiating power, but it also creates complexity. In retail, complexity appears in stores, people, inventory, customer experience and brand perception. If the experience weakens, customers leave quietly.
Other companies should avoid judging a business portfolio only by revenue size. A business with sales can still distract from the company’s core value, absorb too much capital, or blur the brand. Strategic withdrawal is not only about what to stop. It is about what to protect and strengthen afterward.
For Exemplar Luxury Group, the next challenge is clear. Fewer stores alone will not complete the turnaround. The company now has to prove that Saks Fifth Avenue, Neiman Marcus and Bergdorf Goodman can create deeper relationships with affluent customers, stronger service, better curation and more trusted brand partnerships. The restructuring should be seen not as the end of the story, but as a chance to rebuild around the company’s real strengths.
