Gooch & Housego

1. Researching the recent case

This column looks at Gooch & Housego, a UK photonics company, and its recommended cash acquisition by Greenlight Bidco, a vehicle indirectly owned by Arlington Capital Partners. The deal was announced on July 16, 2026. Shareholders are being offered 1,230 pence in cash per share, plus a previously declared 4.9 pence interim dividend for qualifying holders, implying total value of 1,234.9 pence per share. The offer values G&H’s fully diluted equity at about £345.6 million and implies an enterprise value of about £400.5 million. It represents a premium of roughly 40.7% to the closing share price on July 15, 2026, and the board intends to recommend that shareholders vote in favor.
G&H was founded in 1948 and designs advanced photonic components and optical systems. In simple terms, photonics is technology that uses light to sense, process, communicate, and measure. The company serves aerospace and defense, industrial, and life sciences customers. It has also been reshaping its portfolio through acquisitions such as GS Optics, Artemis Optical, Phoenix Optical, and Global Photonics, while divesting EM4 in 2024.
This is not a classic distressed sale. G&H grew revenue in the first half of 2026, with aerospace and defense particularly strong. The issue is that converting demand into profitable growth requires capital, supply-chain resilience, skilled people, and time. The board appears to have weighed the standalone path against the certainty of cash value for shareholders and the possibility of faster investment under private ownership.

2. Analysis of the case

The main lesson is that even a good company can outgrow the ownership structure it currently has. G&H operates in attractive markets: defense, space, semiconductors, industrial lasers, and medical devices all need more precise optical and sensing technologies. But favorable markets do not automatically create smooth execution. Advanced optical manufacturing requires customer qualification, tight quality systems, specialized materials, and experienced technical talent.
Scale also matters. Larger competitors can often invest faster, absorb raw-material volatility more easily, and support customers across local supply chains. G&H has strong technology, but as a smaller AIM-listed company it faces limits around share liquidity, public-market reporting pressure, remuneration flexibility, and investment capacity. Arlington Capital Partners brings experience in aerospace, defense, healthcare, government services, and regulated technology markets. For the buyer, G&H is a strong technical platform that may grow faster with more capital and sector relationships.
The timing is also important. The board did not run an open sale process. It received unsolicited approaches, rejected earlier proposals, and only moved forward after a higher offer. This suggests a comparison between three forms of value: the value of remaining independent, the immediate cash value offered to shareholders, and the strategic value of executing faster as a private company.

3. What could have been done differently

The point is not to blame G&H. The useful question is what signals companies should watch earlier. A growing order book is encouraging, but the key signal is whether that order book can be converted into revenue without stressing the organization. Bottlenecks in equipment, raw materials, customer approvals, working capital, and specialist talent often appear before financial results fully show the strain.
There were other possible paths. G&H could have remained public and raised more capital, borrowed more, or sold selected non-core activities to concentrate on aerospace, defense, and semiconductor-related growth. It might also have accepted a minority investment or strategic partnership. But each path has trade-offs. Equity issuance dilutes shareholders. Debt increases risk if customer programs slip. Asset sales can narrow technical breadth. Minority investment may not change execution speed enough.
The broader improvement is to invest ahead of demand, not only after demand appears. Companies using M&A as a growth tool need strong integration capacity, resilient sourcing, quality systems that can handle defense customers, and operating teams that can turn acquired capabilities into one coherent platform.

4. Future direction and lessons

This case shows that a sale or take-private transaction is not always a defeat. Sometimes it is a way to place a promising business in a structure better suited to its next phase. Exits can close weak businesses, but they can also redesign the conditions for growth.
For other companies, the message is practical. Do not rely only on strong demand as proof that the strategy is working. Look at the system behind growth: capacity, people, supply chains, capital, and decision speed. Treat ownership form as part of strategy. Public listing, subsidiary ownership, joint ventures, divestitures, and private ownership are all tools.
For G&H, the next challenge will be protecting the technical culture and customer trust that make the company valuable while using new capital to accelerate growth. For Arlington Capital Partners, the task is not simply to add money, but to respect the craftsmanship, quality discipline, and long customer relationships at the heart of advanced manufacturing. In that sense, this transaction is less an ending than a change in the conditions for the next attempt.
