1. Researching the Recent Case
This column looks at Domo, a Utah-based software company that provides a cloud platform for data integration, analytics, automation and AI-enabled data products. On July 22, 2026, Domo announced a definitive agreement under which Progress Software will acquire substantially all of Domo’s assets and employees and assume certain liabilities for \$400 million in cash. Domo’s net operating loss carryforwards of more than \$900 million and certain retained assets are excluded from the transaction.
After the closing, Domo’s operating business and platform will become part of Progress. The remaining Delaware holding company will change its name and ticker and continue as a public company with limited operating expenses and a debt-free balance sheet. This followed Domo’s February 2026 announcement that its board had started a formal strategic alternatives review.
Domo was not a broken business. For fiscal 2026, revenue was \$318.9 million, up 1% year over year, and non-GAAP operating margin improved. But GAAP net loss remained significant, and the company was operating in a market where AI, data infrastructure and analytics are increasingly dominated by much larger software platforms.
2. Analysis
The core of this case is not a simple withdrawal from AI and data. It is a transfer of a valuable platform to a larger owner with broader distribution, deeper resources and stronger enterprise software scale. Domo had product value and a customer base, but competing in the AI data platform market now requires more than product quality. It requires sales reach, ecosystem partnerships, security, governance, implementation support and enough capital to keep investing.
The timing is important. Domo began its strategic review in February and announced the transaction in July. It did not wait until the business had lost all value. The company moved while its platform, customers and tax assets could still be structured into a meaningful outcome. The transaction also separates the operating business from the public company’s tax attributes, showing that exit design can be more nuanced than a simple sale.
3. What Could Have Been Done Differently
One early signal was the gap between modest revenue growth and the rising investment demands of the AI market. In such markets, a smaller company needs sharp positioning. Domo might have concentrated earlier on specific industries or use cases where it could win more deeply than broader platforms. It could also have made partner-led distribution a more central part of the business model.
Resource allocation could have focused even more tightly on retention, implementation speed and measurable workflow impact. Customers do not ultimately pay for impressive AI demos. They pay for systems that reliably reduce work, improve decisions and become part of daily operations. Metrics such as department-level adoption, 90-day activation, paid AI usage and expansion within existing accounts could have served as clearer investment and stop-loss criteria.
Still, this transaction should not be read only as failure. If Domo’s technology can grow faster inside Progress, then the sale may protect the value created by employees, customers and shareholders better than remaining independent.
4. Future Path and Lessons
Domo’s case reminds us that divestitures and pivots can be strategic acts of preservation. In fast-moving markets such as AI, technology alone is rarely enough. Scale, trust, distribution and ecosystem fit matter. Companies need to distinguish between businesses they should continue to own and businesses that may thrive better in another home.
The lesson for other companies is to treat strategic reviews as a normal management tool, not a sign of defeat. Reviewing options while the business still has value creates more room for a good buyer, better terms and a smoother transition for customers and employees.
A sale does not erase the past. It can move what has been built into a place where it can be used more widely. Domo’s decision is a useful example for mid-sized software companies in the AI era: sometimes the best way to protect a technology’s future is to change the owner around it.
