1. Examining the recent case

On July 27, 2026, Canadian digital-transformation services company Alithya Group announced that its board had launched a strategic review. Alithya advises clients on business transformation, cloud, data, customer-management and human-capital systems, and has positioned AI-enabled delivery as a growth theme. The review is deliberately broad: it may consider a merger, privatization, sale, recapitalization, strategic investment or partnership, as well as continuing as a listed company. The company said that its current public-market valuation may not fully reflect its intrinsic value or support its next growth phase, while its existing business plan continues.
This is not simply a story of closing a loss-making business. Since its 2018 listing, Alithya has completed ten complementary acquisitions. The central question is whether the company’s accumulated talent, client relationships and specialist capabilities can be integrated and funded quickly enough for an AI-shaped market. The review is a pause designed to preserve options, not a verdict on the value of the work already built.

2. Analysis of the case

The numbers explain why the board is looking carefully now. Fiscal 2026 revenue was C\$477.4 million, up 0.8%, and gross margin improved to 34.0%. Yet a C\$41.1 million impairment charge contributed to a C\$38.8 million net loss. In the fourth quarter, revenue declined 9.2% year on year and the book-to-bill ratio was 0.83. Adjusted EBITDA for the year was C\$47.1 million, slightly below the prior year.
Digital-transformation demand remains meaningful, but large client decisions can be slow. AI also creates a double pressure: clients want new capabilities, while traditional people-intensive services face automation and pricing pressure. Large consultancies, cloud platforms and AI specialists compete for the same budgets. For a mid-sized provider, breadth alone is not always enough to earn a valuation that funds investment at the required speed.
Acquisition-led growth adds an internal challenge. The company must turn acquired teams, locations and contracts into common sales, delivery and talent systems. An impairment does not mean that every acquisition was a failure. It does, however, signal a gap between earlier cash-flow expectations and current assumptions. Launching a review while the company still has adjusted profitability and operating cash flow provides room to compare ownership structures before negotiations become distressed.

3. What might have been improved

The more useful lesson is not that Alithya should simply have sold earlier. It is that expansion and integration need to be managed together. For each acquisition, management can define 12-to-18-month targets for shared customer data, offerings, recruitment standards and overhead savings, then make the next acquisition conditional on those results. Cross-selling, specialist utilization and post-integration retention are stronger early signals than revenue alone.
AI should also be tested as an operating-model change, not merely a new service label: does it reduce delivery time, improve quality, or support pricing? High-potential areas deserve investment; standardized, weakly differentiated services may be better automated, partnered or reduced. Before a full-company sale, targeted divestments, minority investment or business-level joint ventures may be worthwhile options—provided they reduce rather than add complexity.

4. Paths ahead and lessons

Alithya has not chosen its destination. A private owner or new capital partner could make long-term investment and restructuring easier. Remaining public would require a sharper explanation of where the company can win in an AI era and how acquired capabilities will translate into organic growth. In either case, protecting client outcomes and creating a stable home for talent matter most.
For other companies, strategic change should not be framed as an admission of defeat. Reassessing market valuation, demand visibility, integration progress and required investment while options remain is a sign of responsible leadership. Exits and ownership changes can move a business toward the capital, organization and partners most able to grow its value. A sound growth strategy therefore needs not only entry criteria, but also criteria for changing the operating model and reconsidering ownership.
