Getty Images/Shutterstock

English version: Getty Images / Shutterstock—Ending a Merger Rather Than Divesting Editorial Content

1. Reviewing the recent case

On July 7, 2026, Getty Images terminated its agreement to acquire Shutterstock. Announced in January 2025, the approximately \$3.7 billion transaction aimed to combine two licensing businesses spanning images, video, music, and other visual content. The UK Competition and Markets Authority (CMA) concluded in May that the combination did not create a material concern in global stock content, but could weaken competition for editorial content supplied to UK media. Its clearance was therefore conditional on Shutterstock selling its global editorial business to a CMA-approved buyer.
Editorial content is different from commercially produced stock material: it covers news events, sports, celebrities, and other real-world subjects. The proposed divestment included Shutterstock Editorial, Backgrid, and Splash. After initially offering remedies, Getty’s board decided not to continue the divestment process and, once the contractual deadline had passed, terminated the merger agreement. The company chose to abandon the combination rather than complete it without the editorial operation.

2. Analysis of the case

This is more useful as a case of re-testing deal logic than as a simple failed acquisition. The two companies sought greater scale while generative AI was reshaping the visual-content market. Yet editorial content relies on reporting networks, rights management, speed, and trusted relationships with media customers. A divestiture might have secured approval, but it also could have changed what the combined company would be able to offer and how it would differentiate itself.
The CMA separated markets that can easily be confused. Commercial stock content faces strong pressure from AI tools and rivals such as Adobe and Canva. In UK editorial supply, however, the authority saw a smaller set of specialist sources and a risk of less choice, poorer terms, or higher prices for media outlets. Prolonged review also added execution burdens: identifying a buyer, separating systems, moving contributor and customer relationships, and designing an operating model for the carved-out business. The question was no longer just price or approval. It was whether the approved company would still be the company Getty intended to buy.

3. What could have been done differently

Earlier scenario work could have tested whether the core rationale survived a full editorial separation—in financial, operating, and customer terms. If the merger still justified that remedy, the parties could have treated the carve-out as a succession plan for a viable business: dedicate capital, arrange long-term supply agreements, support employees and contributors, and engage potential buyers early. A remedy is not merely a regulatory cost; it is a new business that needs a credible future owner.
Useful early signals include the views of key customers on substitutability, the extent of geographic overlap in sourcing, and whether each remaining business can stand on its own. Boards should show not only the probability that a deal closes, but also the capabilities lost if it closes subject to conditions.

4. The path ahead and lessons

For other companies, the lesson is that finishing a transaction is not the objective. If the conditions erase the strategic core, walking away can be a disciplined choice. Conversely, when a sale is necessary, the business being transferred may gain a better setting to grow if the buyer, investment capacity, and customer protections are right.
The Getty–Shutterstock outcome is not simply an argument for caution. It is an argument for revisiting an investment thesis when regulatory or market conditions materially reshape it. Ending a large plan need not reject the work behind it. It can be a way to select the customer value and business future that deserve to be protected—and to build future deals with clear off-ramps and a candid view of what conditional approval would cost.
