English version
1. Reviewing the recent case
On 18 June, UK specialty-polymer company Synthomer agreed to sell its Czech Acrylate Monomers operating company, Synthomer a.s., to Mutares. The Sokolov site employs about 300 people and makes acrylic acid and related monomers for Europe. Completion is expected by the end of September 2026. Crucially, Synthomer will retain supply arrangements for its own downstream operations, so this is not a withdrawal from customers or materials altogether; it is a change in ownership and operating responsibility.
The business was Synthomer’s last upstream commodity-chemicals activity and had been marked non-core in its 2022 review. It reported EUR68m of external sales and a EUR10m adjusted EBITDA loss in 2025, although trading reached break-even in early 2026. It also required roughly EUR5m of annual capital expenditure. Consideration is structured as up to EUR12m of cash-generation sharing over three years, rather than an upfront payment.
2. What the case tells us
The decision reflects a portfolio fit problem, not merely a weak quarter. Commodity chemicals are exposed to feedstock, energy, volume and utilisation swings, while Synthomer is prioritising specialised, higher-margin materials where formulation know-how and customer applications can create more differentiated value. A capital-intensive upstream plant can absorb cash and management attention precisely when the rest of the company needs investment.
The timing is also instructive. Selling after operations had improved to break-even is different from a fire sale, yet the multi-year path from the 2022 classification to a 2026 agreement shows how long industrial separations can take. A buyer, supply contracts, employees and a viable transition plan all have to align.
3. What could have been done differently
It would be too simple to say the unit should simply have been sold earlier. It supported Synthomer’s downstream activities. Still, management could establish clearer early-warning measures: return on invested capital, break-even utilisation, sensitivity to energy and feedstock costs, and the gap in returns versus the specialty portfolio. If thresholds are missed for two periods, options such as reinvestment, a joint venture and a sale with supply agreements should be compared side by side.
Keeping supply contracts while moving ownership is a useful middle path. It preserves a needed capability without requiring the parent to retain all of the operating and cycle risk. That only works when procurement, sales, plant teams and R&D plan the transition together early enough to protect quality and customers.
4. The road ahead and lessons
Strategic exits need not mean abandoning products, customers or people. They can be a way to place an asset with an owner better suited to fund its next phase, while concentrating the seller’s capital on the value it creates best. For manufacturers, the question of who owns a plant should be separated from the question of how to secure supply.
Three practical lessons follow: assess businesses by quality of earnings, capital needs and strategic fit—not only revenue; build supply, quality and customer-transition plans as soon as separation is considered; and choose buyers for their capacity to invest, not price alone. Done carefully, divestment is not a blame exercise. It is a constructive decision to redirect scarce capital and give a continuing business a more suitable next home.
